Terms of Service

These Terms of Service ("Terms") govern your access to and use of The Wolf Agency platform and related services (the "Service"), operated by Red Wolf, Inc., a Delaware corporation ("we," "us," or "The Wolf Agency").

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

The Wolf Agency provides an AI-powered staffing platform that delivers a team of AI personas operating inside your workplace tools, including Slack, Google Workspace, Notion, and other connected services. The Service uses large language models (currently Anthropic's Claude) to generate persona responses, perform actions on connected services that you authorize, and assist with workflow tasks.

The Service is provided as a subscription. Subscription tiers and current pricing are listed at thewolf.agency/pricing.

To use the Service, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us promptly of any unauthorized use

You must be at least 18 years old to create an account. The Service is not available to children under 18.

4.1 Billing

Subscriptions are billed monthly in advance via Stripe. By providing payment information, you authorize us (through Stripe) to charge the applicable subscription fee on a recurring basis.

4.2 Tier changes

You may upgrade or downgrade your subscription tier at any time through the application. Upgrades take effect immediately and are prorated for the remainder of the billing cycle. Downgrades take effect at the start of the next billing cycle.

4.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods, except where required by applicable law.

4.4 Failed payments

If payment fails, we will attempt to charge your payment method again. If payment continues to fail, we may suspend or terminate your account. You remain responsible for any outstanding charges.

4.5 Free trials

If we offer a free trial, the trial converts to a paid subscription at the end of the trial period unless you cancel before the trial ends.

5.1 Ownership

You retain all rights, title, and interest in the data and content you submit to the Service or that the Service accesses through your authorized integrations ("Customer Data"). Customer Data includes messages, documents, calendar events, and any other content from your connected services.

5.2 License to operate the Service

You grant us a limited, non-exclusive, worldwide license to access, use, process, store, and transmit Customer Data solely as necessary to provide and improve the Service, in accordance with our Privacy Policy.

5.3 No training on Customer Data

We do not use Customer Data to train, develop, or improve generalized AI or machine learning models. Customer Data is used only to operate the Service for you.

5.4 Data location and retention

Customer Data is processed and stored in the United States. We retain Customer Data per our Privacy Policy and provide deletion upon account termination as described there.

The Service allows you to connect third-party services (Google Workspace, Notion, Slack, GitHub, and others) via OAuth. When you connect a third-party service:

• You authorize the Service to access data within the scopes you grant during the OAuth flow
• You remain bound by the terms of service of those third-party services
• The Wolf Agency is not responsible for the availability, accuracy, or content of third-party services
• You may revoke authorization at any time, either through the third-party service's settings or through our application

We are not affiliated with Anthropic, Google, Notion, Slack, GitHub, or any other third-party service provider, except as service providers to The Wolf Agency.

You agree not to use the Service to:

• Violate any applicable law or regulation
• Infringe the intellectual property rights of others
• Send spam, unsolicited communications, or harassing content
• Distribute malware, viruses, or other harmful code
• Attempt to gain unauthorized access to the Service, other users' accounts, or our infrastructure
• Reverse engineer, decompile, or otherwise attempt to extract source code or model weights
• Use the Service to develop a competing product
• Generate content that is unlawful, defamatory, fraudulent, or harmful to others
• Bypass or attempt to bypass any rate limits, billing controls, or access controls
• Use the Service in any manner that could damage, disable, or impair the Service or interfere with any other party's use

We reserve the right to suspend or terminate accounts that violate these terms.

8.1 Nature of AI-generated content

Persona responses are generated by large language models. While we work to make personas helpful and accurate, AI outputs may contain errors, hallucinations, or inaccuracies. You are responsible for reviewing persona outputs before relying on them for material decisions.

8.2 Persona actions on your behalf

Personas can take actions on connected services (creating calendar events, drafting messages, updating documents, etc.) within the scopes you authorize. You are responsible for the configuration of your personas and for reviewing their actions. We are not liable for persona actions that you have authorized.

8.3 No professional advice

The Service does not provide legal, financial, medical, tax, or other professional advice. Persona outputs are not a substitute for advice from a qualified professional.

9.1 Our IP

The Service, including all software, designs, trademarks, logos, and content we provide (excluding Customer Data), is the property of Red Wolf, Inc. or our licensors. We grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

9.2 Feedback

If you provide feedback or suggestions about the Service, we may use them without restriction or obligation to you.

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features of the Service at our discretion. For material changes, we will provide reasonable advance notice.

11.1 Termination by you

You may terminate your account at any time through the application or by contacting us.

11.2 Termination by us

We may suspend or terminate your account if:

• You violate these Terms
• Your payment fails and is not remedied within a reasonable period
• Required by law
• We discontinue the Service (in which case we will provide reasonable advance notice)

11.3 Effect of termination

Upon termination, your right to use the Service ceases immediately. We will retain or delete Customer Data per our Privacy Policy and Section 5.4.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE OR FREE OF DEFECTS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES; THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RED WOLF, INC. AND ITS OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS OF LIABILITY; THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED.

You agree to indemnify and hold harmless Red Wolf, Inc. and its officers, employees, agents, and affiliates from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property or privacy rights
• Customer Data you submit or authorize the Service to access

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any disputes arising from these Terms or the Service will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

If you are using the Service for personal or household purposes and you reside in a jurisdiction whose laws give you the right to bring claims locally, this clause does not override that right.

We may update these Terms from time to time. We will notify users of material changes by email or through the application at least 30 days before changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

17.1 Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Red Wolf, Inc. regarding the Service.

17.2 Severability

If any provision of these Terms is held unenforceable, the remaining provisions remain in effect.

17.3 No waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

17.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
